These Terms of Service ("Terms") govern your access to and use of Swing Trust (the "Program," "Service," or "Platform"), including the website at swingtrust.com, any related educational content, live sessions, simulated trading tools, and subscriptions, all operated by DrkGrws LLC ("Swing Trust," "we," "us," or "our"). By creating an account, purchasing a subscription, or otherwise using the Service, you ("you," "user," or "member") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Important Notice — Educational Purpose Only Swing Trust is an educational and skill-development program only. It provides trading education, instructional content, structured coursework, and a simulated (paper) trading environment designed to help you learn and practice swing-trading concepts. Swing Trust is not a broker-dealer, investment adviser, financial planner, or financial institution, and nothing we provide constitutes financial, investment, legal, tax, or accounting advice. We do not manage money, execute trades on your behalf, hold customer funds, or recommend that you buy, sell, or hold any specific security. Any examples, strategies, watchlists, session commentary, or hypothetical trades are provided solely for educational illustration and do not constitute a recommendation or solicitation to engage in any transaction. The simulated trading component uses virtual, non-real funds. Simulated performance does not represent actual trading and has inherent limitations. Results obtained in a simulation do not guarantee, predict, or imply any real-world outcome.

2. Risk Disclosure and No Guarantee of Results Trading and investing in financial markets involves substantial risk, including the possible loss of your entire investment. Swing trading in particular can result in rapid and significant losses. You should never trade with capital you cannot afford to lose. You acknowledge and agree that: • Swing Trust makes no representation, warranty, or guarantee that you will earn any profit or achieve any particular result from using the Program or applying anything you learn. • Past performance — whether real or simulated, and whether presented by us, an instructor, or another member — is not indicative of future results. • Any decision you make to trade real money in live markets is made solely at your own discretion and risk. • You are solely responsible for your own trading and investment decisions and for any gains or losses that result. • You should consult a licensed financial adviser, broker, or other qualified professional before making any real investment decision.

3. Eligibility You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is accurate and complete. The Service is intended for educational use and is not directed to any person in a jurisdiction where such use would be contrary to law or regulation.

4. Accounts and Registration Certain features require you to create an account and enroll as a student member. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that provide false information, are shared with unauthorized persons, or are used in violation of these Terms.

5. Subscriptions, Fees, and Billing Swing Trust is offered on a paid subscription basis. Current plans and pricing are displayed at the point of purchase on swingtrust.com. By subscribing, you authorize us and our third-party payment processor to charge your designated payment method for the applicable recurring fee (for example, monthly or annually) until you cancel. Subscriptions renew automatically at the end of each billing cycle at the then-current rate unless you cancel before the renewal date. You are responsible for all applicable taxes. We may change our fees prospectively; any price change will apply to billing cycles that begin after we provide notice through the Service or by email. Payment processing is handled by a third-party provider (currently Stripe). Your use of that provider's services is subject to its own terms and privacy policy. We do not store your full payment card details on our servers.

6. No-Refund Policy All sales are final. Once you commit to the Program by completing enrollment and payment, all fees paid are non-refundable. This includes, without limitation, the initial subscription charge and every subsequent recurring renewal charge. We do not provide refunds, credits, or prorated amounts for partial billing periods, unused time, missed live sessions, or content you did not access, regardless of the reason. Because the Program grants immediate access to proprietary educational materials and tools upon enrollment, you expressly acknowledge and agree to this no-refund policy at the time of purchase and waive any right to a refund to the fullest extent permitted by applicable law. Cancellation. You may cancel your subscription at any time to stop future renewals. Cancellation takes effect at the end of your current paid billing period; you will retain access until that period ends, and you will not be charged for the following cycle. Cancelling does not entitle you to a refund of amounts already paid. Nothing in this section is intended to waive any non-waivable right you may have under applicable consumer-protection law in your jurisdiction.

7. License to Use the Service Subject to these Terms and your active subscription, DrkGrws LLC grants you a limited, personal, non- exclusive, non-transferable, revocable license to access and use the Program's content and tools for your own individual educational use. You agree that you will NOT: • Copy, record, reproduce, redistribute, resell, sublicense, publicly display, or share any course materials, live sessions, videos, or other content with any other person or platform. • Share, resell, or provide access to your account or the Program to any third party. • Use the Service to provide financial advice to others or to operate a competing educational or advisory service. • Reverse engineer, scrape, or attempt to extract source code or underlying data from the Platform. • Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including securities laws. • Upload or transmit malware, or interfere with the operation, security, or integrity of the Platform.

8. Intellectual Property All content, curriculum, instructional materials, videos, text, graphics, logos, trademarks, software, and the "Swing Trust" name and branding are the property of DrkGrws LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you. Any unauthorized use terminates the license granted under these Terms.

9. Live Sessions, Community, and User Conduct The Program may include live instructional sessions, group discussion, or community features. Commentary shared in any live session or community space is educational opinion only and is not a recommendation. You agree to conduct yourself respectfully and not to harass, abuse, or defraud other members, post unlawful content, or solicit others. We may remove content and suspend or remove members who violate these standards, without refund.

10. Third-Party Services and Links The Service may reference or link to third-party brokers, tools, data providers, or websites. We do not control and are not responsible for third-party services, their content, or their practices. Any dealings you have with third parties are solely between you and that third party.

11. Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. DRKGRWS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY EDUCATIONAL CONTENT WILL LEAD TO ANY PARTICULAR TRADING OR FINANCIAL RESULT.

12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRKGRWS LLC, ITS OWNERS, INSTRUCTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

13. Indemnification You agree to indemnify, defend, and hold harmless DrkGrws LLC and its owners, instructors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your trading or investment decisions, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, the no-refund policy, and dispute resolution — will survive.

15. Governing Law and Dispute Resolution These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. You and DrkGrws LLC agree that any dispute will be brought in an individual capacity and not as part of any class or representative action.

16. Changes to These Terms We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
